Shipping and Delivery Policy

This Shipping and Delivery Policy (“Policy”) governs the terms and conditions applicable to the delivery of any materials, goods, or services ordered from Clicknify (“Company,” “we,” “us,” or “our”) via clicknify.com. This Policy complements and forms an integral part of Clicknify’s Terms and Conditions, Service Agreements, Proposals, and Invoices. By engaging our services or placing an order, the client (“Client,” “you,” or “your”) acknowledges and agrees to be bound by the provisions hereof.
1. Scope of Policy
1.1 This Policy applies to all deliverables provided by Clicknify, including, without limitation, digital services, digital deliverables, and any physical items (promotional materials, printed collateral, branded merchandise) expressly agreed in writing.
1.2 In the absence of express written agreement, Clicknify’s services and deliverables are strictly digital, and no physical shipping shall be undertaken until and unless explicitly mentioned in the contract.
2. Nature of Deliverables
2.1 Digital Deliverables.
(a) Include, but are not limited to, design files (PSD, AI, Figma), code repositories (HTML, CSS, JavaScript), documentation, audits, reports, strategy documents, and marketing assets.
(b) Delivered electronically via email, secure download link (Google Drive, Dropbox, WeTransfer), client portal, or direct upload to Client’s servers or by any other means on the mutual understanding of Clicknify and the Client.
2.2 Physical Deliverables (Optional).
(a) Limited to printed branding materials, promotional merchandise, or other tangible goods only when explicitly specified in the Service Agreement and invoiced separately.
(b) Handled on a case-by-case basis and subject to the additional terms herein.
3. Delivery Terms for Digital Services
3.1 Delivery Schedule.
(a) Delivery timelines are as set forth in the relevant Service Agreement or Proposal.
(b) Standard projects: Delivery within the agreed timeframe, typically ranging from seventy-two (72) hours to several weeks, contingent on project complexity.
(c) Expedited services: May be provided at Clicknify’s sole discretion upon payment of applicable rush fees.
3.2 Delivery Method.
(a) Electronic transmission to the email address designated by the Client.
(b) Provision of secure download links with expiration dates not less than seven (7) days.
(c) Upload to Client’s designated hosting, Content Management System, or collaboration platform upon request.
3.3 Confirmation and Acceptance.
(a) Clicknify shall notify the Client upon completion and availability of deliverables.
(b) The Client shall have five (5) working days from receipt to review and submit any change-requests or defect notices in writing.
(c) Absent timely written notice, deliverables shall be deemed accepted and final.
3.4 Retention of Deliverables.
(a) Clicknify reserves the right to withhold final deliverables, source files, and intellectual property until full payment of all Fees (including any outstanding invoices, expenses, or retention amounts) is received and keeps right to retain a copy of the above even after delivery for future service aspects.
(b) Interim versions, watermarked drafts, or low-resolution previews may be provided for review purposes only.
4. Delivery Terms for Physical Items
4.1 Order Placement and Fulfilment.
(a) Physical items shall be manufactured, packaged, and shipped only upon Client’s written authorization and payment of all applicable production and shipping charges.
(b) Lead times for production and shipping shall be as mutually agreed and specified in writing.
4.2 Shipping Charges and Taxes.
(a) All shipping, handling, insurance, duties, taxes, and customs fees are borne exclusively by the Client, unless expressly agreed otherwise.
(b) Clicknify shall provide an estimate of such charges in advance; any additional costs incurred shall be invoiced to the Client.
4.3 Carrier Selection and Risk of Loss.
(a) Clicknify shall select the carrier at its discretion unless the Client specifies a preferred carrier and assumes related costs.
(b) Risk of loss, damage, or delay passes to the Client upon delivery to the carrier. Title in the physical items shall vest in the Client upon full payment of all Fees.
4.4 Delivery Location and Receipt.
(a) Delivery shall be to the address specified by the Client.
(b) The Client shall ensure authorized personnel are available to accept deliveries.
(c) Clicknify shall not be liable for failed delivery attempts due to incorrect or incomplete address information.
4.5 Inspection and Claims.
(a) The Client shall inspect physical items within three (3) business days of receipt and notify Clicknify in writing of any shortages, defects, or damages.
(b) Failure to provide timely notice shall constitute unqualified acceptance.
5. Force Majeure
Neither party shall be liable for delays or failures in delivery due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, civil commotion, government action, natural disasters, pandemics, strikes, labour disputes, or disruptions in internet or transportation infrastructure. In such events, the delivery schedule shall be equitably extended.
6. Client Responsibilities
6.1 The Client shall provide all necessary information, access, and approvals required for timely delivery of digital and physical deliverables.
6.2 The Client shall ensure that email and download links are accessible, and that any firewall or network restrictions permit receipt of digital assets.
6.3 For physical shipments, the Client shall furnish accurate and complete shipping details and customs information where applicable.
7. Liability and Limitation
7.1 Clicknify’s sole liability for failure to deliver shall be limited to re-delivery of the undelivered work or, at Clicknify’s discretion, refund of any fees paid for the affected deliverable.
7.2 Under no circumstances shall Clicknify be liable for any indirect, incidental, special, or consequential damages arising from delivery failures, including loss of profits, data, or business interruption.
8. Amendments
Clicknify reserves the right to amend this Policy at any time, without prior notice, by posting the revised Policy on clicknify.com. Continued engagement of Clicknify’s services after such amendment shall constitute acceptance thereof.
9. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to this Policy shall be subject to the exclusive jurisdiction of the courts at Lucknow, Uttar Pradesh, India.
